General provisions
These terms and conditions of use (hereinafter referred to as the "Terms") establish the conditions under which a user (hereinafter referred to as the "User") may access and use the Kuponex platform (hereinafter the "Platform"), as well as the rights, obligations and liabilities of the User.

Kuponex operates as an online classified advertisements internet portal and mobile application functioning on a consumer-to-consumer (C2C) model where the User may list advertisement or advertisements concerning the sale, purchase, trade or exchange (hereinafter the "Transaction") of an unused and valid gift Coupon, gift card or discount voucher (hereinafter the "Coupon") and the sale or purchase of unused and valid Event ticket (hereinafter the "Event ticket").

The Terms apply to all Users using the Platform within the territory of the European Union Member States, the United Kingdom and Norway. The Platform is intended for individuals aged 18 (eighteen) years or older, or who possess full legal capacity to enter into legally binding agreements.

The Platform operates in accordance with applicable European Union legislation, including the General Data Protection Regulation of the European Union (EU) 2016/679 (GDPR), as well as other relevant legal acts governing electronic commerce, consumer protection and payment services within the European Union. Where the Platform's services are accessible in the United Kingdom or Norway, the Platform is also subject, to the extent applicable, to the relevant national laws and regulations governing digital services, consumer protection and personal data processing in those jurisdictions. Processing of personal data is carried out on the lawful bases set forth in Article 6 of the GDPR.

Where the Kuponex services are accessible in the United Kingdom, the Platform is a subject to the United Kingdom's consumer rights protection, digital services and personal data protection regulations, including the Consumer Rights Act 2015, the Digital Services Act implementation framework and the UK General Data Protection Regulation.

Where the Kuponex services are accessible in Norway, the Platform is a subject to the Norwegian consumer rights protection, digital services and personal data protection regulations, including the Marketing Control Act and other applicable Norwegian legislation governing digital platforms and consumer transactions.

The Terms constitute a legally binding agreement between the Platform operator and the User, whether a natural or legal person, who accesses or uses the Platform (hereinafter the "Agreement"). By accessing or using the Platform, the User confirms acceptance of the Terms and undertakes to comply therewith.

Platform operator is not a party to any transaction between a seller (hereinafter the "Seller") and a buyer (hereinafter the "Buyer"). The Platform does not provide payment collection, receipt, storage, transfer or settlement services as defined under the Directive of the European Union (EU) 2015/2366 (PSD2), the Payment Services Regulations 2017 of the United Kingdom (UK) and the Norwegian Financial Contracts Act. The Kuponex Platform acts solely as an intermediary facilitating the listing of advertisements and communication between Users, but does not at any time acquire ownership, possession or control over the Coupon and the Event ticket listed. All transactions, including payments and payment settlement activities, are carried out directly and independently between Users outside the Platform, without any involvement, control or responsibility of Kuponex.

The Platform does not process or hold funds, does not provide Buyer protection mechanisms or payment guarantees and bears no liability for fraud or losses arising from unlawful actions of. By using the Platform each the User acknowledges and accepts full responsibility for his or her actions and any risks associated with transactions.

The Platform operator is not responsible for the accuracy or completeness of the information provided by the User in advertisement or advertisements, including but not limited to, the value price, validity period or usage conditions of the Coupon. The Platform operator is not responsible for the accuracy or completeness of the information provided by the User in advertisement or advertisements, including but not limited to, the value price, event date or usage conditions of the Event ticket.

The Platform operator does not verify the validity, transferability or any restrictions applicable to the Event ticket or the Coupon. The Seller is fully responsible for ensuring that the Event ticket and the Coupon can be legally transferred and used by the Buyer. In the event of cancellation or changes to the Event, all refund and compensation claims must be addressed directly between the Buyer and the Seller. The Kuponex does not act as an Event ticket selling or distribution agent and does not guarantee entry to any Event.

It is strictly prohibited to list the Event ticket that is illegal to resell, including the Event ticket which is a subject to name binding, personal attendance or anti (re)sale restrictions. The Platform operator is not responsible for the authenticity, validity or usability of any Event tickets listed or purchased via the Platform.

The Platform operator is not responsible for the authenticity, validity or usability of any Coupons listed, purchased or exchanged via the Platform.

The Platform operator shall not be liable for any circumstances, including but not limited to, cases where the Coupon or the Event ticket was unlawfully used, forged, duplicated or otherwise illegally distributed before or during its sale.

The Platform operator shall not be liable for the price or payment conditions agreed upon between the Buyer and the Seller.

The Platform operator reserves the right to update, modify or improve the functionality of the Platform at any time and without prior notice.

The Platform operator further reserves the unilateral right to amend, supplement or revise the Terms. The revised Terms shall take effect upon their publication on the Platform.

The User must regularly review the Terms and comply with their most recent version.

Definitions
For the purposes of the Terms, the following definitions apply:

The Platform (Kuponex) - an online classified advertisements internet portal and mobile application that enables the User to list the Coupon's or the Event ticket's advertisement or advertisements, engage in the Transaction and communicate through the Platform's internal messaging function - chat (hereinafter the "Chat").

Chat - the internal messaging functionality of the Platform enabling direct and secure communication between Users regarding the Transaction and related conditions, including payment arrangements.

The Platform operator - the entity that owns, administers and maintains the Platform, ensuring its technical functionality and compliance with applicable legislation (hereinafter the "Platform operator").

The User - any natural or legal person registered on the Platform and using its services.

The Seller - the User listing an advertisement or advertisements offering the Coupon for sale or exchange, or the User listing an advertisement or advertisements offering the Event ticket for sale.

The Buyer - the User acquiring the Coupon or the Event ticket through a Transaction.

The Coupon - a valid gift Coupon, gift card or discount voucher, whether issued in physical or electronic form, possessing a nominal value and an expiry date.

The Event ticket - a valid Event ticket, whether issued in physical or electronic form, that grants the right of entry to a concert, theatrical performance, cinema screening, musical or sporting event or any other cultural, sport or public event and which specifies a nominal value (if applicable) and the scheduled date of the Event. The Event ticket may be a subject to specific usage, access or transferability terms imposed by the event organiser.

The event - a concert, theatrical performance, cinema screening, musical or sporting event, or any other cultural, recreational or public event to which access is granted by the Event ticket and which takes place at a specified venue on a scheduled date and, where applicable, time and may be a subject to specific attendance, access, age, security or identification requirements imposed by the event organiser (hereinafter the "Event").

The counterfeit Coupon - a forged, expired, duplicated, modified or otherwise fraudulent gift Coupon, gift card or discount voucher or any Coupon whose use or distribution is subject to restrictions that have not been satisfied, the sale or offering of which may constitute a criminal or civil offence under applicable law. In particular, this includes offences under the European Union legislation governing the enforcement of intellectual property rights, currency protection and consumer protection (including Directive 2004/48/EC, Directive 2014/62/EU and Directive 2005/29/EC on unfair commercial practices), under the Intellectual Property, Consumer Protection and Fraud laws of the United Kingdom (including the Trade Marks Act 1994 and the Fraud Act 2006), and under the relevant Norwegian legislation prohibiting the distribution, sale or use of counterfeit goods or fraudulent vouchers, as well as any other applicable laws or regulations addressing fraud, counterfeiting and cross-border trade in counterfeit goods or services within the EU/EEA, the United Kingdom and Norway. It is strictly prohibited to list, offer for sale or otherwise distribute on the Platform any counterfeit Coupon. The Seller guarantees that any Coupon listed is genuine, valid, legally transferable and not subject to any resale, trade or transfer restrictions, and shall indemnify the Platform against any claims, liabilities or sanctions arising from a breach of this provision.

The counterfeit Event ticket - any forged, invalid, expired, duplicated, modified or otherwise fraudulent the Event ticket or any Event ticket whose use or distribution is a subject to restrictions that prevent its lawful transfer or use by the Buyer. The sale, offer for sale or distribution of such Event tickets may constitute a criminal or civil offence under applicable law, including but not limited to, the Criminal Code of the European Union and related provisions concerning forgery and fraudulent documents, the United Kingdom legislation governing fraud, counterfeit goods and ticket resale, including the Trade Marks Act 1994, the Fraud Act 2006 as well as regulatory requirements under the Consumer Rights Act 2015 and relevant ticket (re)sale rules, applicable to the Norwegian criminal, consumer protection and marketing control legislation prohibiting the (re)sale or distribution of counterfeit goods or fraudulent Event tickets and to the relevant European Union rules governing the enforcement of intellectual property rights and restrictions on counterfeit goods within the EU/EEA market. It is strictly prohibited to list on the Platform the Event ticket that:
- cannot be legally resold due to name binding, personal attendance, ID matching or anti (re)sale restrictions;
- may result in the Buyer being refused entry to the Event.
The Seller is solely responsible for ensuring that the Event ticket is genuine, valid, transferable and capable of lawful use by the Buyer and shall indemnify the Kuponex and the Platform operator against any claims, losses or penalties arising from a breach of this provision.

The Transaction - a mutual agreement between the Buyer and the Seller concerning the transfer, acquisition or exchange of the Coupon or the transfer or acquisition of the Event ticket.

Personal data - any information relating to an identified or identifiable natural person or legal person, as defined under Article 4(1) of the General Data Protection Regulation 2016/679 (hereinafter the GDPR).

Privacy policy - an integral part of the Terms setting out the principles governing the collection, use, processing and storage of the User's personal data by the Platform operator.

Formation, validity and termination of the Agreement
-
An electronic service the Agreement is concluded between the Platform operator and the User. The Agreement shall be deemed concluded when the User indicates acceptance of the Terms and commences use of the Platform.

The Agreement shall be concluded, performed and interpreted in accordance with the provisions of the Directive 2000/31/EC of the European Union on electronic commerce as well as other applicable European Union legislation. Where Kuponex services are accessed by the Users in the United Kingdom or Norway, the Agreement shall also be governed, to the extent relevant, by the applicable national laws and regulations in those jurisdictions, including the United Kingdom's Digital Services Act implementation framework, the Consumer Rights Act 2015, relevant consumer protection and e-commerce regulations, and the relevant Norwegian legislation on electronic commerce and consumer protection.

By entering into the Agreement, the User confirms that he or she is at least 18 (eighteen) years of age and possesses full legal capacity to enter into binding civil obligations under applicable law.

The Platform operator reserves the right, without prior notice, to restrict, suspend or terminate the User's account if a violation of the Terms is identified or if there are reasonable grounds to suspect unlawful activity.

The Agreement shall remain in force for an indefinite term, effective for as long as the User continues to use the Platform or until the User's account is deleted.

The User may at any time terminate the use of the Platform by submitting a written request for account deletion to the Paltform operator via e-mail at support@kuponex.com.

Upon deletion of the User's account, the User's personal data shall be retained for the period required under applicable legislation but in any case not longer than 3 (three) years from the date of the last login, in accordance with Article 5, 1(e) of the GDPR 2016/679.

Termination of the Agreement shall not release the User from liability for any actions performed or obligations incurred prior to the effective date of termination.

The User registration and account use
To access the Platform's services, the User must register and create a personal account. Both the Buyer and the Seller are required to register in order to ensure the Transaction transparency and security.

During registration, the User shall provide full name, e-mail address and create a password. This information is required for identification and account security purposes.

The User must provide accurate and complete information during registration.
-
It is prohibited to register an account in another natural or legal person's name without their consent or to use false or misleading information.
-
The User is solely responsible for maintaining the confidentiality of his or her login credentials. The Kuponex shall not be liable for any damages resulting from unauthorised access where the User has failed to safeguard his or her credentials.

If the User loses his or her login credentials or suspects unauthorised access to his or her account, the User must immediately notify the Platform operator via support@kuponex.com.

The User may update or correct the User's account information at any time by logging into an account.

The Platform operator reserves the right to block or delete an account where it is used for unlawful purposes, fraudulent activities or breaches of third party rights. The Platform operator may remove any the Coupon or the Event ticket advertisement or advertisements found to contain misleading or false information.

The User must not use the Platform for spam distribution or any system actions that disrupt or overload the Platform's operation.

Conditions for listing, selling and purchasing the Coupon or the Event ticket
-
The Seller may upload only valid and authentic Coupons and Event tickets, the validity of which has not expired and which contain all required identifying details.

When listing the Coupon, the Seller must provide the following information:
- the title of the Coupon or the name of the service;
- the title of the service provider or brand associated with the Coupon;
- the nominal value of the Coupon;
- the expiry date of the Coupon;
- a brief description of the service or product;
- the desired sale price.

When listing the Event ticket, the Seller must provide the following information:
- the title of the Event ticket;
- the event organiser or venue name;
- the event date and time, where applicable;
- the nominal value of the Event ticket, if indicated on the Event ticket;
- a brief description of the Event;
- the desired sale price.

Upon listing the advertisement, the Kuponex system automatically generates a recommended selling price for the Coupon or the Event Ticket. Such recommendation is based on the average market value and comparable listings of Coupons and Event tickets on the Platform.

The Seller has the right to accept or reject the recommended price proposed by the Kuponex.

The Seller may modify or set the own sale price at the Seller's sole discretion. The recommended price is provided solely for reference purposes and shall not restrict the Seller's freedom of contract.

The Seller must ensure that the Coupon or the Event ticket offered for sale corresponds accurately to the information contained in the advertisement.

It is strictly prohibited to list misleading, counterfeit, expired or otherwise invalid the Coupon.

It is strictly prohibited to list any misleading, counterfeit, expired, invalid, duplicated or otherwise fraudulent the Event ticket, including Event tickets that cannot be legally transferred or may cause the Buyer to be refused entry to the Event.

The Platform operator reserves the right to remove, without prior notice, any advertisement that breaches the Terms or any applicable law.

Prior to purchasing the Coupon or the Event ticket, the Buyer must carefully review all information contained in the advertisement and communicate with the Seller through the Platform's Chat function.

The Transaction shall be deemed completed when the Seller confirms receipt of payment and discloses the Coupon code or the electronic form of the Event ticket to the Buyer.

The Coupon's information remains hidden until the Seller marks the listing as "Sold" on the Platform. The Event ticket's information remains hidden until the Seller marks the listing as "Sold" on the Platform.

The Seller bears full responsibility for the validity, authenticity and usability of the Coupon and for resolving any disputes arising between the Seller and the Buyer.

The Seller bears full responsibility for the validity, authenticity, transferability and usability of the Event ticket, including ensuring that the Buyer will not be refused entry to the event due to restrictions on transfer or resale. The Seller is solely responsible for resolving any disputes arising between the Seller and the Buyer in connection with the Event ticket.

The Platform operator shall not be liable for the content, value or usability of the Coupon.

The Platform operator shall not be liable for the accuracy of the Event ticket's details, the nominal value of the Event ticket, validity, transferability, usability or acceptance of the Event Ticket, nor for the Buyer's admission to the Event. The Buyer is solely responsible for complying with Event access requirements, including venue rules, entry policies and identity or age verification conditions imposed by the Event organiser.

The Platform operator may monitor and review the Seller's advertisement or advertisements to ensure the User's safety and prevent fraud.

The Platform operator may edit the description of the Seller's advertisement or advertisements solely for technical or linguistic purposes, such as correcting errors, categorisation or formatting.

The Platform operator reserves the right to limit the number, frequency or duration of listings listed by the Seller.

An advertisement may be automatically removed after 60 (sixty) calendar days if it has not been updated by the Seller or if the Coupon or the Event ticket has expired, been cancelled or otherwise become irrelevant or ineligible for resale, including situations where the Event has already taken place or changes have occurred that prevent lawful transfer to another person. In the case of the Event ticket, the Platform operator may additionally remove any listing that violates organiser imposed (re)sale restrictions or where the Event ticket can no longer guarantee lawful entry to the event.

Transaction execution and liability

The Platform operates as a technical intermediary and does not provide or perform the collection, receipt, storage, transfer or settlement of funds. Platform operator is not a party to any sales or exchange contract, the Transaction, between Users and is not liable for the fulfilment of obligations thereunder.

The Buyer and the Seller agree upon the terms of payment directly via the Chat functionality.

Payment for the Coupon or the Event ticket shall be made directly between the Buyer and the Seller, using any mutually agreed payment method (e.g. bank transfer). Both parties are responsible for verifying the authenticity of the Coupon and the Event ticket and ensuring the use of secure and lawful payment methods.

The Buyer must ensure that the payment has been properly executed and the Seller must verify that the funds have been received.

Payment confirmation or transfer slip shall not constitute proof of payment until the Seller has actually received the funds in the specified account.

If the User suspects any fraudulent activity, he or she must immediately report it to fraud@kuponex.com.

In the event of suspected or confirmed fraud or other unlawful conduct, the Platform operator reserves the right to disclose all relevant information to competent national law enforcement authorities.

Any unlawful activity involving the creation, use, (re)sale or distribution of a counterfeit Coupon or counterfeit Event ticket shall constitute a criminal offence. Such conduct may be punishable under:
- European Union criminal law framework, including, but not limited to, Directive (EU) 2017/1371 of the European Parliament and of the Council on the fight against fraud to the Union's financial interests (the PIF Directive);
- Directive 2014/62/EU on the protection of the euro and other currencies against counterfeiting, and other applicable European Union legal acts criminalising fraud, document forgery and the use of forged documents;
- Directive (EU) 2019/2161 regarding unfair commercial practices, consumer protection and misleading sales practices, where applicable;
- United Kingdom law, including but not limited to, the Fraud Act 2006, Consumer Protection from Unfair Trading Regulations 2008 and the Forgery and Counterfeiting Act 1981;
- Norwegian law, including but not limited to, the Penal Code (Straffeloven) Sections on fraud and document forgery as well as Marketing Control Act provisions on misleading and fraudulent commercial practices.
The Platform operator shall report any suspected criminal behaviour to the competent national law enforcement authorities.

Users must act in good faith and comply with the principles of fairness and reasonableness.

Upon receipt of payment, the Seller must, no later than within 1 (one) calendar day, mark the listing as "Sold" on the Platform.
-
Once the Seller marks the Coupon as "Sold", all related the sold Coupon's files, data or documents (e.g. Coupon's PDF, code or image) shall become accessible only to the Buyer through the Platform. Such files or data shall not be publicly available or visible to any other Users of the Platform.

Once the Seller marks the Event ticket as "Sold", all files, data and documents related to the sold Event ticket, including but not limited to, the Event ticket's PDF, QR code, barcode, image or download link, shall become accessible exclusively to the Buyer via the Platform. Such files or data shall not be publicly available or visible to any other Users of the Platform.

Generic images are used for displaying both the Coupon and the Event ticket listings on the Platform. The original file of the Coupon or the Event ticket, including any associated identifying information such as the code, barcode, QR code, image or download link, shall be visible only to the Seller and the Buyer involved in the Transaction. Such files and information shall not be accessible, visible or disclosed to any other Users of the Platform or third parties.

Limitation of liability

Platform operator is not a party to any Transaction between Users and therefore shall not be liable for:
- any disputes arising between Users regarding payment or delayed payment;
- any disputes related to fraudulent or unlawful acts;
- counterfeit, expired or invalid Coupon;
- the content, quality or value of any Coupon;
- counterfeit, expired, invalid or otherwise unusable the Event ticket;
- the content, quality, nominal value, seat allocation, date, time, accessibility rights, or any other characteristics of the Event ticket;
- the User's errors or omissions;
- any direct or indirect losses or damages arising from the actions of Users.

The Platform operator shall not be liable for any delay, failure, suspension or disruption in the provision of the Platform's services resulting from force majeure circumstances, as recognised under the general principles of European Union law and applicable European Union legal acts, including, in particular, Article 4(6) of Directive 2011/83/EU on Consumer Rights, as well as in accordance with the United Kingdom Consumer Rights Act 2015, common-law principles governing force majeure, and the Norwegian Consumer Purchases Act, together with the related provisions of Norwegian contract law.

The Platform operator shall not be liable for the content of third party websites or links displayed on the Platform. Each User remains solely responsible for the content of his or her own listings.

The Platform operator shall not be liable for technical disruptions or system failures. Technical disruptions or system failures shall not be considered grounds for claims of loss or damage.

Nothing in the Terms shall be construed as creating any warranty or obligation on the part of the Platform or the Platform operator to guarantee the success, authenticity or completion of the Transaction.

The User's rights and obligations
-
The User shall have the right to:
- use the Platform in accordance with the Terms;
- list, purchase or exchange valid Coupons;
- list or purchase valid Event tickets;
- access and manage his or her account information;
- request correction or removal of inaccurate or misleading data;
- report suspected violations or fraudulent activity to fraud@kuponex.com.

The User shall be obliged to:
- provide accurate and truthful information;
- use the Platform for lawful purposes only;
- refrain from posting false or misleading data;
- avoid actions that may harm other Users or the Platform.

It is prohibited to use the Platform for commercial purposes without the Platform operator's prior written consent.

The User shall be liable for any damage caused to other Users or the Platform as a result of unlawful actions.

The Platform operator reserves the right to temporarily restrict or suspend access to the Platform where data security, system integrity or stability may be at a risk.

Prohibited activities and fraud prevention

The User shall be strictly prohibited from:
- listing or offering the counterfeit, forged, expired, cancelled, damaged or otherwise invalid Coupon;
- listing or offering the counterfeit, forged, expired, cancelled, damaged or otherwise invalid Event ticket;
- using another person's data or account without consent;
- spreading false or misleading information about the Kuponex, the Platform operator or other Users;
- infringing upon third party intellectual property rights;
- engaging in fraudulent, deceptive or otherwise unlawful activities;
- sending unsolicited advertisements, spam or inappropriate content via the Chat;
- uploading offensive, discriminatory or illegal material;
- using the Platform for purposes other than the publication of the legitimate the Coupon's and the Event ticket's listings;
- engaging in any conduct contrary to applicable national legislation or European Union law, including but not limited to consumer protection, digital services and data protection regulations, as well as the applicable laws of the United Kingdom (such as the Consumer Rights Act 2015, the Digital Economy Act 2017 and the UK GDPR) and the applicable laws of the Kingdom of Norway (including the Consumer Purchases Act, the Marketing Control Act and the Personal Data Act), or any other mandatory legal requirements governing digital transactions, the (re)sale of Event tickets and consumer rights protection.

Any activity exhibiting signs of fraud, deception or counterfeiting of Coupons and Event tickets shall be deemed an offence and may incur criminal liability.

Kuponex actively monitors the User's activity and reserves the right, without prior notice, to:
- remove false, fraudulent or suspicious listings;
- suspend or terminate any User's account;
- provide relevant information to competent law enforcement authorities.

The User who becomes aware of any suspected illegal activity must immediately notify the Platform operator via fraud@kuponex.com.

Messaging system (the Chat)
-
The Chat function is intended solely for direct communication and negotiation between the Buyer and the Seller regarding the Coupon's or the Event ticket's Transaction.

The User is prohibited from using the Chat for advertising, spamming, harassment or any unlawful purposes.
-
The Platform operator reserves the right to review, edit or delete messages if there is a reasonable suspicion of a violation of law or the Terms.
-
The Platform operator shall not be liable for the content of private communications exchanged between Users.

Feedback and ratings
-
The Platform includes a rating and feedback feature for evaluating the Seller. The Seller's Transaction history and feedback may be publicly displayed on their profile.

Upon completion of the Transaction and confirmation that the Coupon or the Event Ticket has been marked as "Sold", the Buyer may leave a rating and a written comment evaluating the Seller's conduct and the Transaction.

All comments and feedback must be factual, objective and based on the Buyer's genuine experience.

It is strictly prohibited to post misleading, defamatory, discriminatory or inappropriate comments. The Platform operator reserves the right to remove such content without prior notice.

Dispute resolution and governing law
-
Any disputes, disagreements or claims arising from or related to the Terms shall be settled amicably through negotiation between the parties.

Should an amicable settlement not be reached, the dispute shall be submitted for resolution to the competent courts of the Republic of Lithuania, in accordance with the Code of Civil Procedure of the Republic of Lithuania. Where the Platform's services are accessible within the European Union, United Kingdom or Norway, consumers retain the right to rely on mandatory consumer protection laws applicable in their country of residence, including but not limited to:
- Directive 2013/11/EU on Alternative Dispute Resolution (ADR) and the ODR Regulation (EU) No 524/2013, enabling consumers to settle disputes through certified ADR bodies across the EU;
- UK Consumer Rights Act 2015, including access to UK ADR mechanisms for consumers located in the United Kingdom;
- Norwegian Consumer Dispute Act and procedures provided by the Norwegian Consumer Council, applicable to consumers located in the Kingdom of Norway.
However, any legal proceedings relating to the terms, obligations or operation of the Platform shall be governed by Lithuanian law and shall fall under the exclusive jurisdiction of Lithuanian courts, unless mandatory consumer protection rules provide otherwise.

The Terms shall be governed and interpreted in accordance with the laws of the Republic of Lithuania and the applicable legal provisions of the European Union, as well as the relevant provisions of the EEA Agreement where applicable. Where the Platform's services are accessible in the United Kingdom or the Kingdom of Norway, mandatory consumer protection, data protection and digital services regulations applicable in the United Kingdom (including the Consumer Rights Act 2015, the Digital Economy Act 2017 and the UK GDPR) and in the Kingdom of Norway (including the Consumer Purchases Act, the Marketing Control Act and the Personal Data Act) shall also apply to consumers located in those jurisdictions to the extent required by law. The User retains the right to rely on mandatory consumer protection, data protection and digital services regulations and laws applicable in their country of residence.

Intellectual property rights

All intellectual property rights of the Platform's design, logo, brand name, textual and visual content belong to the Platform operator and the Kuponex or are lawfully used under licence.

It is prohibited to copy, distribute, reproduce or otherwise use any part of the Platform's material or content without the prior written consent of the Platform operator. Any unlawful use of the Platform's material or content shall be deemed an infringement of intellectual property rights and may result in civil or criminal liability under applicable law.

Third party logos and trademarks are displayed on the Platform solely for informational and descriptive purposes, in compliance with the Law on Copyright and Related Rights of the European Union, Directive 2004/48/EC on the enforcement of intellectual property rights and other applicable European Union legislation governing fair use of trademarks. Where the Platform's services are accessible within the United Kingdom and Norway, such use of third party intellectual property shall also comply with:
- the UK Trade Marks Act 1994, including provisions permitting descriptive and referential use of registered marks;
- the Copyright, Designs and Patents Act 1988 and UK case law on fair dealing;
- the Norwegian Trademarks Act and Copyright Act, including referential use allowances and requirements for non-misleading representation.
The Platform does not claim any ownership over third party logos or trademarks and does not indicate any commercial endorsement or affiliation unless explicitly stated.

Final provisions

The Terms shall enter into force upon their publication on the Platform.

The Platform operator reserves the right to amend or supplement the Terms as required by changes in law or service functionality. The User will be deemed notified upon publication of the updated terms on the Platform.

Continued use of the Platform after such publication shall constitute the User's acceptance of the amended terms.

The Platform operator and the Kuponex shall not be liable for any financial relations, payments or settlements between the Users, nor for the authenticity or validity of any Coupon or Event ticket. The Platform serves solely as a technical intermediary for communication and advertisement publishing.

The Platform is not a financial institution or a payment service provider within the meaning of the Law on Payments of the European Union, Directive (EU) 2015/2366 (PSD2) and related European Union regulatory frameworks governing payment services and electronic money. Where the Platform's services are accessible within the United Kingdom and Norway, Kuponex is likewise not deemed a payment institution or electronic money provider under the UK Payment Services Regulations, the Electronic Money Regulations, nor under the Norwegian Financial Institutions Act or other Norwegian legislation governing payment services and funds transfer activities. The Platform does not collect, receive, store, transfer, process or settle payments on behalf of Users and does not hold User funds at any time. All payments and settlements for transactions are performed directly and independently between Users, outside the Platform, without the involvement of Kuponex in the processing of funds.

Nothing in the Terms shall be interpreted as a guarantee by the Kuponex platform or the Platform operator of the authenticity, validity or success of any Transaction conducted between the Users.
